1. Acceptance of Terms
By accessing and using the website jlsolutions.au (the "Site") and engaging with JL Solutions ("Company," "we," "us," or "our") for web design and digital marketing services, you agree to be bound by these Terms and Conditions. If you do not agree to any part of these terms, you may not use our Site or services.
2. Services Description
JL Solutions provides web design, web development, digital marketing, and related services to businesses in Toowoomba and surrounding areas. Services include but are not limited to:
- Website design and development
- WordPress website creation
- E-commerce solutions
- Website redesigns
- Website maintenance and support
- Local SEO services
- Digital marketing consultation
3. Pricing and Payment
3.1 Quotation
Quotations provided are valid for 30 days from the date of issue unless otherwise specified. Quotations are subject to change based on project scope modifications or market conditions.
3.2 Payment Terms
Payment terms are as specified in your individual service agreement. Generally:
- A deposit is required to commence work
- Final payment is due upon project completion
- Payment must be made via bank transfer, credit card, or other agreed methods
3.3 Late Payments
Invoices are due within the specified payment terms. Late payments may result in suspension of services or project delays. We reserve the right to charge interest on overdue amounts as permitted by law.
4. Intellectual Property Rights
4.1 Website Content
All original design elements, code, graphics, and written content created by JL Solutions remain our intellectual property unless otherwise agreed in writing. You receive a non-exclusive license to use the website for your business purposes.
4.2 Your Content
You retain ownership of content you provide (text, images, videos). By providing content, you grant us permission to use it in creating and maintaining your website and for portfolio/case study purposes with your permission.
4.3 Third-Party Content
You are responsible for ensuring you have the right to use any third-party content (images, fonts, plugins, etc.) included on your website. You indemnify us against any claims of copyright infringement.
5. Client Responsibilities
The client is responsible for:
- Providing accurate, complete information and content
- Obtaining necessary rights and permissions for all content
- Reviewing and approving design mockups and revisions in a timely manner
- Maintaining website content and security after launch
- Renewing domain names and hosting subscriptions
- Installing and maintaining required plugins or software
6. Website Launch and Revisions
6.1 Revision Rounds
The number of revision rounds included in your project is specified in your service agreement. Additional revisions beyond the agreed number may incur additional charges.
6.2 Timeline
Project timelines are estimates based on scope, client responsiveness, and complexity. Delays in client feedback or changes to project scope may extend timelines. We are not liable for delays caused by circumstances beyond our control.
6.3 Launch
The website is considered complete and ready for launch when all agreed elements are finished and approved by the client. The client is responsible for final review before going live.
7. Warranty and Limitation of Liability
7.1 Website Performance
While we strive to deliver high-quality websites, we do not guarantee specific traffic, conversion rates, or business outcomes. Website performance depends on many factors beyond our control, including marketing efforts, market conditions, and user behaviour.
7.2 Disclaimer
The Site and services are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties including merchantability, fitness for a particular purpose, and non-infringement.
7.3 Limitation of Liability
To the fullest extent permitted by law, JL Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or revenue, even if advised of the possibility of such damages.
8. Maintenance and Hosting
8.1 Website Maintenance
Optional website maintenance plans include updates, backups, security monitoring, and technical support. Maintenance services are detailed in your service agreement.
8.2 Hosting
If we provide hosting services, these are subject to the hosting provider's terms and conditions. We are not responsible for hosting provider outages or service interruptions beyond our control.
8.3 Backups
We maintain regular backups of your website. However, you are responsible for maintaining additional backups of critical data and content.
9. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the engagement. This includes business plans, financial information, and technical specifications, except where required by law or with written consent.
10. Termination
10.1 Termination by Client
If you wish to terminate our engagement, written notice must be provided. Any termination fees or obligations are as specified in your service agreement. Completed work remains billable.
10.2 Termination by JL Solutions
We reserve the right to terminate services if payment is not received, if you breach these terms, or for other legitimate business reasons with appropriate notice.
11. Acceptable Use Policy
You agree not to use our Site or services to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Engage in harassment, threats, or abusive behaviour
- Distribute malware or engage in hacking
- Engage in spam or phishing activities
- Post obscene, defamatory, or illegal content
12. Limitation of Service Scope
Our services are limited to the services specified in your agreement. We are not responsible for:
- Third-party integrations or APIs not implemented by us
- Custom code or functionality beyond agreed scope
- Issues caused by third-party plugins or services
- Changes to third-party platforms (Google, social media, etc.)
13. Indemnification
You agree to indemnify, defend, and hold harmless JL Solutions from any claims, damages, losses, or expenses arising from:
- Your violation of these terms
- Your use of our services
- Content you provide to us
- Your infringement of third-party rights
14. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of Queensland, Australia, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in Queensland.
15. Dispute Resolution
In the event of a dispute, the parties agree to attempt to resolve the matter through good faith negotiation. If negotiation fails, disputes may be resolved through mediation or arbitration as agreed in writing.
